About TraderXchange

These terms and conditions set out the legal agreement ("Agreement") between TraderXchange Limited. ("TraderXchange", "we" or "our"or"us") and you that governs your access to the subscription only online service ("Service") at the website www.traderxchange.co.uk ("Website"). TraderXchange operates solely as a service provider by granting website access to prospective buyers and sellers of vehicles and transport services offered for sale. You are not permitted to use the Service unless you have successfully subscribed to be a member of the Website ("Member").
The Service is available to Members to purchase and sell vehicles and transport services in the course of trade. Use of the Service to purchase any vehicle as a consumer is strictly prohibited.
The Website is owned by TraderXchange. By accessing the Website and/or using the Service or any aspect of the Service, you agree to be bound by these terms and conditions.
TraderXchange is a provider of the Service and is not a party to any contract concluded pursuant to the Service and/or Website. TraderXchange is not responsible to any Member, Seller or purchaser in any way for any issue arising out of such contract including without limitation any failure of either party to perform in accordance with the contract or any dispute arising out of the contract and/or relation to whether a contract has been validly entered into or concluded.
In order to register to become a Member you must be a member of the motor trade. You may be required to show proof of eligibility for access to TraderXchange. You agree that TraderXchange may ask for additional information including references to confirm eligibility. You must over 18 years of age.

The Website allows members to contact a seller ("Seller") directly in relation to a vehicle ("Vehicle") appearing on the Website as for sale. The website also allows members to contact directly another member in relation to a vehicle transport request appearing on the website.

Free Trial Period

TraderXchange as part of its marketing strategy offer a 30 day free trial period to all new customers. It is entirely at the discretion of TraderXchange as to whether that trial period be honoured. We reserve the right to either extend, reduce, deny and cancel completely a free trial without prior notice or reason whatsoever.

Entering an item for Sale

All Members are able to offer Vehicles and or transport services for sale via www.traderxchange.co.uk using the me@traderxchange stock management screen.

It is the Member's sole responsibility to provide an accurate and true description of the Vehicle.
Members are required to complete all fields required in order to enter a Vehicle for sale. Failure either deliberately or unintentionally to do so may lead to the listing being removed.
TraderXchange Ltd is not in any way responsible for the accuracy or verification of the description or any information relating to the Vehicle. The Seller is solely responsible for the accuracy and fullness of the description of the Vehicle and all information relating to the Vehicle. The Seller warrants to TraderXchange that these are true and accurate.

Removing an Item entered

TraderXchange Ltd is not in any way responsible for the accuracy or verification of the availability for sale or any information relating to the Vehicle. The Seller is solely responsible for the accuracy of the status, availability and all information relating to the Vehicle. The Seller warrants to TraderXchange that this information is true and accurate.
It is the member's responsibility to remove any vehicle from traderxchange immediately it becomes unavailable for sale.

Setting a Price

It is the responsibility of the Seller to set the price in relation to a Vehicle. It is the Seller's responsibility to set a realistic reserve. TraderXchange reserves the right to monitor reserve prices against industry standard guides.

Sales Period

It is entirely at the seller's discretion the length of time a vehicle is offered for sale on traderxchange. TraderXchange reserves the right to monitor length of time individual vehicles have been advertised and at their discretion inform the seller.

Web Activity

TraderXchange reserves the right to monitor web activity - e.g. web hits per individual vehicle and at their discretion inform the seller.

Seller & Purchaser Responsibilities

The Seller is responsible for providing all relevant information relating to the Vehicle to the prospective purchasers. The Seller shall ensure that the Seller has the legal right of ownership and to sell the Vehicle and receive the sale proceeds and that the Vehicle is free from any charge, third party lien or other third party right or other encumbrances, unless agreed otherwise where this detail has already been stipulated either in the description of the Vehicle or at time of initial contact with purchaser.
The purchaser shall contact the Seller directly in relation to any vehicle for sale.
TraderXchange has no interest in these terms or arrangements as between the Seller and the purchaser and recommends that any such agreements are treated with significant caution and all parties confirm in writing the exact details of the arrangement.

Cancellation or Suspension

TraderXchange has the right to cancel or suspend a Member's membership or account at any time and with immediate effect without written notice. TraderXchange will, where it considers it practical in the circumstances, give notice of cancellation. You have the right to cancel your subscription to TraderXchange at any time, written notice of 30 days must be given and sent via email to enquiries@traderxchange.co.uk.

Refund Policy

Since TraderXchange is offering non-tangible irrevocable services we do not issue refunds once your order is completed and access to the traderxchange website has been achieved. You are responsible for understanding this upon purchasing any service from traderxchange. We only make exceptions to this rule if you have paid annually in advance. In that specific case a refund amount will be calculated based on the outstanding months paid for but not used. In the event of a refund claim being accepted and agreed we will refund monies due less £70 administration fee. Refund payment will be made by traderxchange within 30 days of agreement between traderxchange and refund claimant.

TraderXchange's Rights

All rights to the Website and the Service ( and the system and processes relating to and supporting the Website) including all intellectual property rights, methods, descriptions, functionality, business processes and business practices shall remain the absolute property of TraderXchange.

TraderXchange Liability

It is acknowledged and agreed that TraderXchange is not a party to any contract for the sale or purchase of any Vehicle appearing on the Website and has no influence over the behaviour of the purchaser and Seller. Accordingly, TraderXchange shall not be responsible for and shall have no liability whatsoever to any Seller, purchaser or any other person for any failures or issues relating to a contract concluded via the Website, including without limitation, the mis-description or state of a Vehicle, the identity of the terms of any contract, the rights of the Seller to sell a Vehicle unencumbered, the failure to deliver or delay in delivering a Vehicle or failure to pay for a Vehicle.
1. Without limiting the effect of the above paragraph, TraderXchange shall not be liable to any Member or any other person for any: Indirect, consequential or special losses.
2. Damage to business reputation, loss of profit, loss of contracts, income or business opportunity, loss of data, wasted costs or loss of bargain.
TraderXchange shall be relieved from any obligation under these terms and conditions to the extent that it is unable to perform or delayed in performing such obligation as a result of any event or circumstance beyond its reasonable control, including without limitation, fire, flood, explosion, power failure, act of god, change in law or regulation, failure of suppliers or supplies, lightning, storm, terrorism, sabotage or industrial dispute or strike.
TraderXchange will use its reasonable endeavours to ensure that the Website is available at all times but shall not be liable to any Member or any other person for any loss or claim arising out of any interruptions to the Website or Service including without limitation due to internet downtime, data errors, communication errors or breakdowns associated with servers, software or hardware. Further, the Service may not be available during times of scheduled or emergency maintenance. TraderXchange will use its reasonable endeavours to keep any downtime to a minimum.
TraderXchange's aggregate liability to any Member arising out of the Service or use of the Website shall not exceed a sum equal to the fees paid or payable by the Member to TraderXchange.

Data Protection and Privacy

1. As part of the registration process you will be required to submit some confidential business and personal data. TraderXchange will keep all data confidential and in accordance with applicable data protection legislation. Data may be passed to third parties to the extent that it is necessary to perform the Service or complete the process of registering Members or providing the Service. However, this personal data will not be passed to other third parties for marketing purposes without the permission of the Member first being obtained. TraderXchange may pass personal data to relevant authorities to the extent required by law, for example, law enforcement authorities or courts if requested. TraderXchange also retains the right to use information provided by Members for administration.
TraderXchange may use Member's personal data to market its own services to such Member. If a Member does not wish its personal data used for this purpose it should inform us at: enquiries@traderxchange.co.uk.
TraderXchange may use cookies on the Website. Cookies are bits of electronic information that a web site can transfer to your hard drive to help tailor and keep records of your visit to the Website. Cookies allow us to better customise visits to the Site to your individual preferences, helping us provide you with the best possible service. Most major web sites use cookies and their use is standard on the Internet. Most Internet browsers automatically accept cookies but you can change your settings so that you are notified whenever you are sent a cookie.

Payment

Payment for subscription to TraderXchange is required monthly in advance. Current charge for access is £45 + vat per month. We reserve the right to review pricing policy. We reserve the right to amend pricing with any amendments being implemented 30 days from issue of written confirmation by us to you.

General

You agree to provide full and accurate information in connection with your application to be a Member and your use of the Service and the Website. You are fully responsible for providing up to date account information. TraderXchange is not responsible for any errors or inaccuracies in the information and data that you provide.
TraderXchange will take reasonable steps to ensure that only Members who meet the conditions required by these terms and conditions are accepted as members but make no representations or guarantees about the accuracy of information relating to any other Member appearing on the website.
All Members must choose a user name and password. Each Member must keep this information secure and never pass on to any other parties. It is the Member's sole responsibility to inform TraderXchange immediately if the Member suspects any misuse upon which the account will then be blocked and a new password issued. TraderXchange shall not be liable in the event that a Member's user name and/or password are misused. If TraderXchange suspects a member has passed account information to any third party, TraderXchange has the right to suspend that account and introduce measures to recover any monies owed due to the misuse.
Member shall only use the Website and Service for the purposes of the advertising, sale and purchase of motor vehicles and for vehicle transport and no other purpose. In particular, you shall not use the Website or Service to approach members for the purposes of soliciting business for alternative channels of advertising.
Members agree to comply with all applicable laws and regulations.
TraderXchange reserves the right to assign this Agreement, and to assign or subcontract any or all of its rights and obligations under this Agreement.
These terms and conditions contain the whole of the agreement between us and you concerning the Service and the Website to the exclusion of earlier agreements and understandings with you, except for any fraud or fraudulent representation by either of us.
TraderXchange reserves the right to change these terms and conditions from time to time, and post the new version on the Website. When we do so, we will notify you of the fact that there are changed terms on the main screen of the Website and the new version of these terms and conditions will take effect immediately and will govern all Services.
In the event that any term of this Agreement is held to be invalid or unenforceable by judicial decree or decision, the remainder of this Agreement shall remain valid and enforceable.
This Agreement shall be governed by and construed in accordance with the laws of England and Wales and the parties agree to the jurisdiction of the Courts and England and Wales.

Behaviour

All Members are expected to behave in a reasonable and responsible way at all times, the following actions but not limited to will not be tolerated and may result in legal action being taken against individual Members:

Interference with the Website
Use of any obscenity or profanity on the Website
Use of TraderXchange once an account has been suspended
Posting of wanted ads
Misrepresentation of any identity or any material circumstances or conditions relating to a Member or Vehicle
Use of another individual's user and password details
Failing to provide valid and complete contact information and to keep TraderXchange informed as to any changes
Use by any person under the age of 18
Use by a person who is not a registered member of the motor trade
Spamming or abuse of its platform
